国美管理层准备与黄光裕摊牌 Jailed  founder  fights  with Gome

 

国美电器控股有限公司(Gome Electrical Appliances Holdings)表示将召开一次特别会议,寻求股东对现管理层的支持,从而准备好与其狱中的创始人黄光裕最后摊牌,

中国法庭在3月份以内幕交易和行贿罪判处黄光裕入狱14年。然而,这位中国亿万富翁持有国美34%股份,仍是国美最大股东。他在狱中发起斗争,以重新获得对这家香港上市公司的控制权。

国美本月宣布,黄光裕已要求召开一次特别股东大会,让股东投票决定其继任者陈晓(董事长)和另一名董事是否应该退出董事会。这位亿万富翁提议,由他的姐姐和一名同事代替这两个人。

陈晓表示,中国政府在全球金融危机最严重时证实黄光裕被捕,如果国美没能从海外“白衣骑士”筹集到资金,公司本将无法经受黄光裕被捕的连锁反应而存活下来。

Gome Electrical Appliances Holdings is set for a showdown with Huang Guangyu, its incarcerated founder, after saying it would convene a special meeting to seek shareholder support for current management.

In May, a Chinese court sentenced Mr Huang to 14 years in prison for insider trading and bribery. However, the Chinese billionaire remains Gome’s largest shareholder, with a 34 per cent stake, and has fought from behind bars to regain control of the Hong Kong-listed company.

This month, Gome announced Mr Huang had requested a special general meeting allowing shareholders to vote on whether Chen Xiao, his successor as chairman, and one other director should be removed from the board. The billionaire is proposing that they be replaced by his sister and an associate.

Speaking at the company’s first-half results briefing, Mr Chen criticised Mr Huang and defended his management team’s record. Last year Gome raised $418m from Bain Capital, which confirmed yesterday that it would exercise an option to take a 10 per cent stake in the company and vote at next month’s special general meeting.

“Gome has experienced a great deal of distraction caused directly and indirectly by Mr Huang since his arrest in 2008,” Mr Chen said.

Gome yesterday announced a 66 per cent increase in first-half net profit over the same period last year, to Rmb962m ($141m).

In his latest attack on company management, Mr Huang last week struck a nationalist tone in an open letter addressed to Gome’s 100,000 employees. “[Current management] wants to turn this precious Chinese brand into a foreign brand,” the letter alleged. “The consequences of this are too ghastly to contemplate. Gome employees will work for foreign capital, and their sense of national honour and their accomplishments over the past 23 years will be lost.”

Mr Chen said that Gome would not have survived the knock-on effects from Mr Huang’s arrest, confirmed by Chinese authorities during the depths of the global financial crisis, had it not been able to raise funds from an overseas white knight.
